11.2. Information on Pending Lawsuits in which the Company Acts as a Defendant and a Plaintiff in Relation to Debt Recovery Actions

  1. On April 15, 2009, after consideration of case No. А40-271/09-133-3 on the claim filed by JSC “Transneft” against JSC VNIIST for the debt recovery in the amount of 68,393,390.00 rubles and fine in the amount of 59,829,660.00 rubles, as well as counter claim filed by JSC VNIIST against the Company for the expenses recovery under a contract in the amount of 63,850,495.05 rubles, the Arbitration Court of Moscow resolved to award JSC “Transneft” the debt in the amount of 68,393,390 rubles, fine of 15,434,415 rubles, and expenses for the state duty payment — 100,000 rubles; the counter claim of JSC VNIIST to the Company was rejected.

    As the Company disagreed with the fine reduction by court (from 59,829,660 rubles to 15,434,415 rubles), it appealed the above court resolution.

    By the order of the Ninth Arbitral Appeal Court of Moscow dated June 15, 2009, the resolution of the court of the primary jurisdiction remained unchanged.

    On July 30, 2009, the funds recovered by the court from JSC VNIIST in favour of JSC “Transneft” (83,927,805.24 rubles) were credited to the settlement account of the Company.

    JSC VNIIST appealed the above judicial acts to the court of cassation.

    By order of the Federal Arbitration Court of the Moscow District (FAC MD) of September 22, 2009, the cassation appeal filed by JSC VNIIST was satisfied, the case was referred for new consideration to the court of primary jurisdiction.

    The Company filed an application to the Supreme Arbitration Court of the Russian Federation (SAC RF) for the repeated consideration of the above order of FAC MO in the review procedure. By ruling of SAC RF of November 17, 2009, submission of the case to the Presidium of SAC RF was rejected.

    According to the ruling of the Arbitration Court of Moscow of February 3, 2010, new consideration of the case was suspended in connection with an expertise appointment on application of JSC VNIIST.

    On March 3, 2011, the proceedings were resumed in connection with submission of the export opinion.

    According to the ruling of the Arbitration Court of Moscow of May 18, 2011, the proceeding was again suspended in connection with a repeated expertise appointment on application of JSC VNIIST.

    On May 15, 2012, the proceedings were resumed in connection with submission of the export opinion.

    In the course of the judicial proceeding, the Arbitration Court of Moscow adopted a resolution on February 13, 2013, on appointment of a new expertise and suspension of the proceeding until completion of the expertise.

On October 24, 2012, after consideration of case No. А40-80681/12-150-764 based on the claim filed by the Territorial Administration of Rosimushchestvo in the Leningrad Oblast against JSC “Transneft” for recovery of the unjustifiable enrichment in the amount of 5,073,525.62 rubles, the Arbitration Court of Moscow resolved to recover from JSC “Transneft” a debt in the amount of 280,112.11 rubles.

    By ruling of the court of the appeal jurisdiction of January 23, 2013, the resolution of the court of primary jurisdiction remained unchanged.

On October 18, 2012, after consideration of case No. А40-110448/12-46-45 based on the claim filed by JSC “Transneft” against “Northern Radiance” Oil company" LLC for the debt recovery in the amount of 503,167.50 rubles, the Arbitration Court of Moscow resolved to recover the above amount from “Northern Radiance” Oil company" LLC.

    By the order of the Ninth Arbitral Appeal Court of Moscow dated January 25, 2013 the resolution of the court of the primary jurisdiction remained unchanged, and the appeal filed by the defendant was dismissed.

  4. On February 7, 2013, the Arbitration Court of Moscow in the course of consideration of case No. А40-167155/2012 based on the claim filed by Neviss-Complex LLC against JSC “Transneft” and LLC “Baltnefteprovod” for recovery of a joint debt under a contract in the amount of 125,200,128.92 rubles and a fine in the amount of 14,193,520 rubles resolved to refer the case according to the jurisdiction to the Arbitration Court of Saint Petersburg and Leningrad Oblast. The court hearing on the case will take place on May 16, 2013.
